By accessing or using HyveOS (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not use the Service.
These Terms constitute a legally binding agreement between you (“Customer” or “User”) and Jakeb Construction LLC (“Company,” “we,” “us,” or “our”), the operator of HyveOS at hyveos.app.
HyveOS is a cloud-based construction business management platform that provides tools for estimating, invoicing, client management, scheduling, daily logs, document storage, and related features. The Service is provided as a software-as-a-service (“SaaS”) subscription.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.
You agree to use the Service only for lawful purposes. You may not:

You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the security of your login credentials and for all activity that occurs under your account.
If you are registering on behalf of a company, you represent that you have authority to bind that company to these Terms.
You must be at least 18 years of age to use the Service.
HyveOS is offered on a paid subscription basis. Subscription plans, pricing, and features are described at hyveos.app/pricing. Pricing is subject to change with at least 30 days' notice to active subscribers.
Billing: Subscriptions are billed in advance on a monthly or annual basis via Stripe. Your credit card will be charged automatically at the start of each billing period. All amounts are in U.S. dollars.
Free Trials: Certain plans include a free trial period. At the end of the trial, your subscription will convert to a paid plan and your card will be charged unless you cancel before the trial ends.
Cancellation: You may cancel your subscription at any time from your account settings or by contacting us at support@hyveos.app. Cancellation takes effect at the end of the current billing period. You retain access through the end of the period you have already paid for.
Refunds: We do not provide refunds for partial billing periods or unused subscription time, except where required by applicable law. If you believe a billing error has occurred, contact us within 30 days of the charge.
Failed Payments: If a payment fails, we will attempt to notify you and retry the charge. After a reasonable period without resolution, we may suspend or terminate your access.
The Service, including all software, code, interfaces, designs, data models, prompts, algorithms, branding, and documentation, is the exclusive property of Jakeb Construction LLC and is protected by copyright, trade secret, and other applicable laws.
These Terms do not grant you any ownership interest in the Service. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes during the term of your subscription.
Any feedback, suggestions, or ideas you provide about the Service may be used by us without restriction or compensation to you.
You retain full ownership of all data you upload, enter, or generate within the Service (“Customer Data”). This includes client records, estimates, invoices, photos, job notes, and documents.
You grant us a limited license to process, store, and transmit your Customer Data solely to provide the Service to you. We do not sell your Customer Data to third parties.
Upon cancellation or termination, you may export your data. We will retain Customer Data for a period of 90 days following termination, after which it may be permanently deleted. We are not liable for data loss after this period.

Each party agrees to keep the other's confidential information private and not to disclose it to third parties without consent. This includes your business data and our proprietary systems and pricing.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. AI-generated content is provided for assistance only and is not a substitute for professional judgment.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JAKEB CONSTRUCTION LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless Jakeb Construction LLC and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any rights of another.
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons may include violation of these Terms, non-payment, or conduct that we determine is harmful to the Service or other users.
You may terminate your account at any time by canceling your subscription and ceasing to use the Service.
Upon termination, your license to use the Service ends immediately. Sections 6, 7, 10, 11, 12, and 14 survive termination.
These Terms are governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in North Carolina, and you consent to the personal jurisdiction of such courts.
We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page and, for material changes, provide notice to active subscribers via email or in-app notification. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
